1. Terms and Definitions

1.1. For purposes of these Terms of Use, the following terms shall have the meanings as specified below:

GGC: means the The Good Game Club Ltd company.

You: means you as a Good Game Inv. User (‘Your’ and ‘Yours’ shall be construed accordingly).

GGC Software: means the software which is developed and owned by, and copyright of, The Good Game Club Ltd.

Client Terminal: means MetaTrader 4 or MetaTrader 5 trading terminal which represents a trader’s workstation and enables a trader to perform trading operations in financial markets.

Terms of Use: mean these www.thegoodgameclub.comTerms of Use which constitute the entire agreement between The Good Game Club Ltd and the User, as well as updated, modified and/or amended future versions thereof as now or hereafter in effect.

Additional Terms: mean the terms and conditions that apply to Your use of the Software, Products and Website of The Good Game Club Ltd, published or declared in addition to these Terms of Use.

Additional Agreements: mean agreements that apply to Your use of GGC Services, published or declared in addition to these Terms of Use.

Rules: mean rules and conditions that apply to Your use of GGC Services, published or declared in addition to these Terms of Use.

Affiliated Entities: mean any corporation, company or other entities that directly or indirectly control the operation of The Good Game Club Ltd controlled by The Good Game Club Ltd or that are together with The Good Game Club Ltd controlled by third parties. For purposes of this document, “to control” and “controlled by” shall mean the direct or indirect ownership of more than 50% (Fifty percent) of the issued and outstanding ordinary shares of a corporation, company or another entity.

Content: means any and all content, consisting of text, sounds, pictures, design, photos, video and/or any type of information or communications.

Trademarks: mean trademark and service mark names, logos, domain names and other distinctive features of trademarks of their respective owners (or license holders).

Intellectual Property Rights: mean patents, patent applications, designs, trademarks and trade names (registered and unregistered), copyrights and other similar rights, database rights, computer software rights, technology, know-how and confidential information, all other intellectual property rights and similar or equivalent rights anywhere in the world that exist now or may exist in the future, as well as applications, alterations and amendments to any of the above rights.

GGC Websites: all elements, content and style (look and feel) of the website, including third level domains, with the URL addresses address www.thegoodgameclub.com

The Good Game Club Ltd Website: all elements, content and style (look and feel) of the website, including 3rd level domains, with the URL address www.thegoodgameclub.com.

The Good Game Club Ltd Online Materials: mean materials available for downloading from the The Good Game Club Ltd Website, as well as any changes made by The Good Game Club Ltd in its sole discretion.

The Good Game Club Ltd Advertising Materials: any and all trademarks, names, brands, signs, logos, banners, and any other materials, in whatever form, owned and/or used by The Good Game Club Ltd for the promotion of the company, its products, services and activities.

The Good Game Club Ltd Employees: officers, directors, employees and representatives of The Good Game Club Ltd or Affiliated Entities, as well as any other persons employed by The Good Game Club Ltd or its Affiliated Entities.

Account or GGC ID: means an account of website user with Login and Password created for Your use of www.thegoodgameclub.com.

Password: means a code You select, which, in combination with the Login, gives You access to Your Account.

Payment Processor: means a third-party payment system authorized by The Good Game Club Ltd to provide payment processing services related to financial transactions in GGC Services.

Payment Account: means a financial account issued by the Payment Processor in its payment system pursuant to a separate agreement with a User whose use of the Payment Account must be approved by the Payment Processor.

Funds: User’s funds that can be used to make purchases in the GGC Services. The data on Funds is displayed in the User’s Client Area.

Client Area: User’s personal web page on The Good Game Club Ltd Website with the URL address www.thegoodgameclub.com, containing User’s personal details, data from the appropriate GGC Services and data on the amount of Funds a User has the right to control when making purchases in GGC Services.

Personal Data: User’s personal details provided by him/her when registering on The Good Game Club Ltd Website or using The Good Game Club Ltd Website functionality and GGC Services.

1.2. Words used in singular form include the plural, and vice versa, as appropriate.

1.3. Any words following the terms (in any form) “including”, “among other things”, “in particular” and similar expressions shall be construed as illustrative and not limiting the meaning of the words preceding those terms.

2. General

2.1. These Terms of Use, as well as updates hereof, constitute the entire agreement between You and The Good Game Club Ltd and govern the terms on which You can use the website www.thegoodgameclub.comand GGC Services.

By clicking on the “Continue”, “Accept” or a similar button or an appropriate link and/or by using the www.thegoodgameclub.comwebsite, You agree to the Terms of Use of this Agreement.

You agree that The Good Game Club Ltd is not responsible for the materials, software, products or third party services that may be published or distributed on www.thegoodgameclub.com.

The User who has not agreed to be bound by these Terms of Use shall have no right to use the website www.thegoodgameclub.comand GGC Services.

The website www.thegoodgameclub.comis available for use by persons aged 18 and older.

2.2. These Terms of Use will automatically cease to be effective if it appears that You are (a) not an Good Game Inv. User, or (b) under the age of 18, or (c) a person who is not allowed to use the GGC Software in accordance with the applicable law of any country, including the country of Your residence or intended use of the GGC Software.

2.3. If You are a company employee or executive and You use www.thegoodgameclub.comon behalf of Your company (“Company”), You accept and agree to the below: (i) by accepting these Good Game Inv. Terms of Use and by using www.thegoodgameclub.com, You acknowledge that You are explicitly authorized to do so by the Company based on Your and Company’s compliance with this Agreement regarding the use of www.thegoodgameclub.comby You and the Company; (ii) You have obtained all consents, approvals and authorizations from the Company whatsoever needed, allowing You to officially act on behalf of the Company under these Good Game Inv. Terms of Use. You represent and warrant that You have obtained such consents, approvals and authorizations to use www.thegoodgameclub.comon behalf of the Company. If You do not have such authority, You shall not have the right to use www.thegoodgameclub.com.

2.4. Your agreement with The Good Game Club Ltd can also include Additional Terms and Additional Agreements published or declared by The Good Game Club Ltd on the Web or in the The Good Game Club Ltd Website. Additional Terms and Agreements include, without limitations, terms and conditions set forth in these Terms of Use.

2.5. Before using the Trading Terminal, Products, Software and GGC Website, You must read and agree to the relevant license agreements and additional terms regarding the products or services offered by The Good Game Club Ltd. You can accept such agreements or terms by clicking the appropriate button or as otherwise suggested by The Good Game Club Ltd or by using the Client Terminal, The Good Game Club Ltd’s Products, Services and Website whereby You agree and acknowledge that by such use You accept the relevant agreements or terms.

2.6. You acknowledge and agree that by accepting these Terms of Use, as well as Additional Terms and Additional Agreements, You enter into a legally binding agreement with The Good Game Club Ltd. In case of any conflict between the Additional Terms or Additional Agreements and these Terms of Use, Additional Terms or Additional Agreements shall prevail with respect to any particular service offered by The Good Game Club Ltd.

Some GGC Services or Software are subject to respective Rules, Additional Terms or Additional Agreements. The following Agreements, Terms and Rules also regulate Your use of the www.thegoodgameclub.comwebsite and GGC Services, and by this reference such Agreements, Terms and Rules are included into this Terms of Use of the Good Game Inv. website:

Before using any of GGC Services, You are required to read and accept the corresponding Rules, Additional Terms and Additional Agreements.

2.7. You hereby consent to the use of electronic communication in order to enter into agreements, contracts, make payments, place orders and other records, as well as to the electronic delivery of notices, policies and records of transactions initiated or completed via the website www.thegoodgameclub.comor GGC Services.

2.8. Furthermore, You hereby waive any rights or requirements under any laws or regulations in any jurisdiction which require an original non-electronic signature or delivery or retention of non-electronic records, to the extent permitted by applicable mandatory law.

2.9. If You are a resident of a jurisdiction where the use of the GGC Software or the website www.thegoodgameclub.comor GGC Services is prohibited by law due to different requirements or a complete ban on the use of the GGC Software or the website www.thegoodgameclub.comor GGC Services in any such jurisdiction, do not install or use them.

2.10. Use of the website www.thegoodgameclub.comrequires compatible devices (computer, mobile phone, etc.) and Internet access. The website www.thegoodgameclub.commay use Your computer (or other device) resources, including, but not limited to, CPU, memory and network connectivity to ensure the functionality of the website www.thegoodgameclub.com. The Good Game Club Ltd will use its commercially reasonable efforts to protect the privacy and integrity of Your computer resources and Your communications. However, You acknowledge and agree that The Good Game Club Ltd cannot give any warranties in this respect.

3. Use of the Website www.thegoodgameclub.com

3.1. You agree to provide accurate and complete information when You register on, and as You use, the website www.thegoodgameclub.com, and You agree to update Your registration data to keep it accurate and complete. may store and use the registration data You provide for maintaining Your Account and performing its obligations under these Terms of Use.

3.2. You agree that The Good Game Club Ltd may, in its sole discretion and without prior notice, suspend or terminate the provision of any GGC Service or access to the website www.thegoodgameclub.com(or its functions) to You personally or all Users.

3.3. The Good Game Club Ltd may engage the services of consultants and other contractors in connection with the performance of obligations and exercise of rights under this Agreement, provided that such consultants and contractors will be bound by the same obligations as The Good Game Club Ltd.

3.4. The Good Game Club Ltd may make available to You various payment processing methods. You agree to abide by any relevant terms and conditions or other legal agreement, whether with The Good Game Club Ltd or a third party, that governs Your use of a given payment processing method. You agree that The Good Game Club Ltd may add or remove payment processing methods in its sole discretion and without notice to You.

3.5. The Good Game Club Ltd may discover that the content, materials, products or services published or distributed on www.thegoodgameclub.comviolate any Additional Terms or Additional Agreement or other legal agreements, third party rights, laws, rules and regulations. You agree that in this case The Good Game Club Ltd reserves the right to discontinue the distribution of, remove or stop the publication of, such content, materials, products or services, in its sole discretion or as required by the relevant government authorities.

3.6. You agree to use the website www.thegoodgameclub.comonly for purposes that are permitted by (а) these Terms of Use, and (b) any applicable law, regulation or generally accepted practices or guidelines in the relevant jurisdictions, and in accordance with moral principles and rationality. You agree not to use the website www.thegoodgameclub.comby any means other than through the interface that is provided by The Good Game Club Ltd on www.thegoodgameclub.comor the GGC Software interface, unless You have been specifically allowed to do so in a separate agreement with The Good Game Club Ltd. You specifically agree not to access the website www.thegoodgameclub.comthrough any automated means, including use of scripts, crawlers, or similar technologies.

3.8. You agree that You will not engage in any activity that interferes with or disrupts the operation of the website www.thegoodgameclub.com(as well as the servers and networks which service the website www.thegoodgameclub.com).

3.9. You agree that You will not reproduce, duplicate, copy, sell, trade or resell the content of the website www.thegoodgameclub.com, unless you have been specifically permitted to do so in a separate agreement with The Good Game Club Ltd. You must retain all copyright and other proprietary notices contained in the original materials on any copy You make of the materials of the Content. You may not modify the Content in any way or publicly display, reproduce or distribute it. The website www.thegoodgameclub.comis the property of The Good Game Club Ltd. The The Good Game Club Ltd Websites are protected by international copyright laws. You agree that You are solely responsible for, and that The Good Game Club Ltd has no responsibility to You or to any third party for, Your use of the website www.thegoodgameclub.comand any GGC Services, products or services, any breach of Your obligations under these Terms of Use, and for the consequences of any such breach (including any loss or damage of any kind which The Good Game Club Ltd or any third party may suffer).

3.11. You agree to comply with any and all applicable tax laws, including the reporting and payment of any taxes arising in connection with Your use of the website www.thegoodgameclub.comand GGC Services, and that the reporting and payment of any such applicable taxes are Your responsibility.

3.12. The Good Game Club Ltd reserves the right (but shall have no obligation) to pre-screen, moderate, review, flag, filter, modify, refuse or remove any or all Content, products, materials or services from the website www.thegoodgameclub.com. However, You agree that by using the website www.thegoodgameclub.comYou may be exposed to materials, products or services that You may find offensive, indecent or objectionable, in which case you can submit a relevant claim to www.thegoodgameclub.comwebsite’s support service using the “Contacts and requests” page.

3.13. You agree that The Good Game Club Ltd and its Affiliated Entities own all right, title and interest in and to the www.thegoodgameclub.comwebsite. You agree that The Good Game Club Ltd has all the appropriate rights and licenses for the distribution of the Content, materials, products or services through the website www.thegoodgameclub.comand GGC Services that are provided by their respective authors or other copyright owners. You agree that You will not, and will not allow any third party to, (I) copy, sell, license, distribute, transfer, modify, adapt, translate, prepare derivative works from, decompile, reverse engineer, disassemble or otherwise attempt to derive the source code of the software located on the website www.thegoodgameclub.com, unless otherwise permitted, (II) take any action to circumvent or defeat the security or content usage rules provided, deployed or enforced by any functionality (including without limitation digital rights management or forward-lock functionality) in the materials, products and services, (III) use the Content, materials, products or services to access, copy, transfer, transcode or retransmit content in violation of any law or third party rights, or (IV) remove, obscure, or alter copyright notices, trademarks, or other proprietary rights notices of The Good Game Club Ltd or any third party, affixed to or contained within the Content, materials, products or services.

All rights to Trademarks, as well as property rights and titles, including but not limited to any and all rights to intellectual property are the property of their respective owners or license holders. Except as otherwise provided in these Terms of Use, neither party grants to the other party any right, title or interest (including, but not limited to, any implied licenses) in or to Trademarks. Nothing in this Agreement gives the User a right to use any trade names, trademarks, service marks, logos, domain names, and other distinctive brand features of The Good Game Club Ltd.

3.15. In using the website www.thegoodgameclub.comor GGC Services, You are not granted any intellectual property rights or rights in or to the website www.thegoodgameclub.comor GGC Services or to any related content, including materials, documentation, products or services. Any other use of the content shall be allowed only subject to respective owner’s authorization or when this is provided by law. These Terms of Use do not grant You any right to use any branding or logos of The Good Game Club Ltd. You must not remove, obscure, or alter any legal notices displayed on the pages of the website www.thegoodgameclub.com.

3.16. You shall not access or attempt to access an Account that You are not authorized to access. You agree not to modify the software in any manner or form, or to use modified versions of the software, for any purposes including obtaining unauthorized access to the website www.thegoodgameclub.comor GGC Services. Violations of system or network security may result in civil or criminal liability.

3.17. You agree not to carry out illegal acts directed at massive attraction of visitors to the Good Game Inv. website. Any unauthorized massive advertising campaigns concerning Good Game Inv. website services are prohibited.

3.18. Each User further represents, warrants and agrees that he/she shall:

a) carry on their activities on the The Good Game Club Ltd Website in compliance with any applicable laws and regulations;

b) conduct their business transactions with other GGC Services Users in good faith;

c) carry on their activities in accordance with the Terms of Use and any applicable Rules and Additional Agreements;

d) not use GGC Services or The Good Game Club Ltd Website to defraud any person or entity (including without limitation sale of stolen items, use of stolen credit/debit cards);

e) not impersonate any person or entity, misrepresent themselves or their affiliation with any person or entity;

f) not engage in spamming or phishing;

g) not engage in any other unlawful activities (including without limitation those which would constitute a criminal offense, give rise to civil liability, etc) or encourage any unlawful or fraudulent activities;

h) not attempt to copy, reproduce, exploit or expropriate The Good Game Club Ltd Website’s various proprietary directories, databases and listings;

i) not distribute any computer viruses or other destructive devices and codes that have the effect of damaging, interfering with, intercepting or expropriating any software or hardware system, data or personal information;

j) not involve any scheme to undermine the integrity of the data, systems or networks used by The Good Game Club Ltd Website and/or any User of GGC Services or gain unauthorized access to such data, systems or networks;

k) not engage in any activities that would otherwise create any liability and/or financial losses for The Good Game Club Ltd or its affiliates.

3.19. The User shall not use The Good Game Club Ltd Website, GGC Services or Account to engage in activities which are identical or similar to the www.thegoodgameclub.comwebsite business.

3.20. The User agrees to provide to The Good Game Club Ltd all the necessary information, materials and approval, and render all reasonable assistance and cooperation necessary for The Good Game Club Ltd to provide the services on the www.thegoodgameclub.comwebsite, as well as for evaluating whether any User has breached the Terms of Use and/or handling any User’s complaint. If User’s failure to do so results in delay in, or suspension or termination of, the provision of any GGC Service, The Good Game Club Ltd shall not be obliged to extend the relevant service period nor be liable for any loss or damages arising out of or in connection with such delay, suspension or termination.

3.21. The User acknowledges and agrees that The Good Game Club Ltd reserves the right to, but shall not be required to actively monitor or exercise any editorial control whatsoever over the content of any message or material or information (including User Content) created, obtained or accessible through GGC Services or The Good Game Club Ltd Websites. The Good Game Club Ltd does not endorse, verify or otherwise certify the contents of any comments or other material or information (including User Content) created, submitted, posted, displayed or otherwise made by any User. Each User is solely responsible for the contents of their communications and may be held legally liable or accountable for the content of their comments or other material or information.

3.22. The User acknowledges and agrees that each User is solely responsible for observing applicable laws and regulations in its respective jurisdictions to ensure that all access and use of the The Good Game Club Ltd Website and GGC Services are in compliance with the same.

3.23. If any User breaches any Terms of Use, or if The Good Game Club Ltd has reasonable grounds to believe that a User is in breach of any Terms of Use, The Good Game Club Ltd shall have the right to take such disciplinary actions as The Good Game Club Ltd deems appropriate, including without limitation: (i) suspending or terminating the User’s account and any and all accounts determined to be related to such account by The Good Game Club Ltd in its sole discretion without liability for any losses or damages arising out of or in connection with such suspension or termination; (ii) restricting, downgrading, suspending or terminating the subscription of, access to, or current or future use of any GGC Service; (iii) removing any product listings or other User Content that the User has submitted, posted or displayed, or imposing restrictions on the number of product listings or User Content that the User may post or display; (iv) imposing other restrictions on the User’s use of any features or functions of any GGC Service as The Good Game Club Ltd may consider appropriate in its sole discretion; and (v) any other corrective actions, discipline or penalties as The Good Game Club Ltd may deem necessary or appropriate in its sole discretion.

3.24. Without limiting the generality of the provisions of the Terms of Use, a User would be considered as being in breach of the Terms of Use in any of the following circumstances:

a) upon complaint or claim from any third party, if The Good Game Club Ltd has reasonable grounds to believe that such User has fully or materially failed to perform his/her contract with such third party including without limitation where a User who supplies products or services using GGC Services has failed to deliver any items ordered by such third party after receipt of the purchase price, or where the items such User has delivered materially fail to meet the terms and descriptions outlined in the contract with such third party;

b) The Good Game Club Ltd has reasonable grounds to suspect that such User has used a stolen credit card or other false or misleading information in any transaction with a counter party;

c) The Good Game Club Ltd has reasonable grounds to suspect that any information provided by the User is not current or complete or is untrue, inaccurate, or misleading;

d) The Good Game Club Ltd believes that the User’s actions may cause financial loss or legal liability to The Good Game Club Ltd or its affiliates or any other Users;

e) if a bank or credit card issuing company cancels the payment in favor of The Good Game Club Ltd at Your request (You request a chargeback), we may block Your account or restrict the use of a relevant Payment system;

f) if The Good Game Club Ltd detects any signs of fraud or suspicious activity related to any payments within GGC Services, we may set a limit of expenses for Your account or block it.

3.25. The Good Game Club Ltd reserves the right to cooperate fully with governmental or regulatory authorities, law enforcement bodies, private investigators and/or injured third parties in the investigation of any suspected criminal or civil wrongdoing. Further, to the extent permitted by applicable laws and policies, The Good Game Club Ltd may disclose the User’s contact information and/or information regarding the User’s account(s), transactions or activities carried out on or via the The Good Game Club Ltd Website, if requested by a government, regulatory or law enforcement body or an injured third party, or as a result of a subpoena or other legal action. The Good Game Club Ltd shall not be liable for damages or results arising from such disclosure, and the User agrees not to bring any action or claim against The Good Game Club Ltd for such disclosure.

3.26. The Good Game Club Ltd may, at any time and in its reasonable discretion, impose limitations on, suspend or terminate the User’s use of any GGC Services or the The Good Game Club Ltd Website without being liable to the User if The Good Game Club Ltd has received notice that the User is in breach of any agreement or undertaking with any affiliate of The Good Game Club Ltd and such breach involves or is reasonably suspected to involve dishonest or fraudulent activities. The Good Game Club Ltd reserves the right to, but shall not be required to investigate such breach or request confirmation from the User.

3.27. Each User agrees to indemnify The Good Game Club Ltd, its affiliates, directors, employees, agents and representatives and to hold them harmless, from any and all damages, losses, claims and liabilities (including legal costs on a full indemnity basis) which may arise from submission, posting or display of any User Content, from access to or use of the GGC Services and The Good Game Club Ltd Website, or from a breach of the Terms of Use or any Additional Agreements.

3.28. Through the www.thegoodgameclub.comwebsite, The Good Game Club Ltd provides electronic web-based platforms for exchanging information between buyers and sellers of licenses, products and services, conducting transactions, as well as placing, arranging and fulfilling orders based on the relevant Additional Agreements, Rules and Additional Terms. However, The Good Game Club Ltd does not represent either the seller or the buyer in specific transactions regardless of the conditions. The Good Game Club Ltd does not control and is not liable or responsible for the quality, safety, lawfulness or availability of the products or services in GGC Services offered for sale on the The Good Game Club Ltd Website, or the ability of the sellers to complete a sale or the ability of buyers to complete a purchase.

3.29. Users are hereby made aware that there may be risks of dealing with people acting under false pretenses. The Good Game Club Ltd uses several techniques to verify the accuracy of certain information Users provide us when they register to make payments on GGC Services. However, because User verification on the Internet is difficult, The Good Game Club Ltd cannot and does not confirm each User’s purported identity. We encourage you to use various means, as well as common sense, to evaluate with whom you are dealing.

3.30. Buyers and sellers accessing or using the The Good Game Club Ltd Website or GGC Services shall assume the risks of conducting any purchase and sale transactions in connection with or through the The Good Game Club Ltd Website or GGC Services. Buyers and sellers accessing or using the www.thegoodgameclub.comwebsite or GGC Services shall fully assume all risks of liability or harm of any kind arising out of or in connection with any subsequent activity relating to the products or services in GGC Services that are the subject of the transactions on the The Good Game Club Ltd Website. The Good Game Club Ltd does not store Users’ payment details and card numbers. When a User deposits Funds or makes a purchase in GGC Services, the data is verified by a Payment Processor the User has selected to make the payment.
